Terms of Business

1. Introduction

These Terms of Business (“Terms”) govern the provision of services by Avant Estates SARL, trading as Avant Partners, registered in the Kingdom of Morocco under applicable Moroccan commercial laws.
These Terms apply to all clients, customers, organisations, institutions and businesses engaging Avant Partners for outsourced operational, sales development, administrative, marketing, automation, consultancy or related business support services.
By engaging Avant Partners, the Client acknowledges that they have read, understood and agreed to these Terms of Business.

3. Governing Law

Avant Partners operates under the laws and regulations of the Kingdom of Morocco, including Moroccan Commercial Law, Moroccan Contract Law, Moroccan Data Protection Law No. 09-08, and applicable tax and corporate regulations.
Where international clients are concerned, Avant Partners may also align operationally with recognised international commercial standards where reasonably applicable.

4. Nature of Services

Avant Partners provides outsourced business support services, including but not limited to:
Sales Development — outbound calling, appointment setting, lead qualification, CRM management, follow-up services, pipeline support.
Administrative Support — virtual assistants, inbox management, scheduling, data entry, operational coordination, reporting support.
Marketing Operations — LinkedIn outreach, email campaigns, lead sourcing, CRM automation, content support, prospect engagement.
AI Automation — AI lead generation, workflow automation, chatbot systems, CRM automation, marketing automation, customer support automation.
Avant Partners reserves the right to modify, improve, expand, suspend or discontinue services at its discretion.

5. Client Responsibilities

Clients agree to provide accurate information, cooperate reasonably with Avant Partners, provide timely feedback, supply relevant documentation where required, maintain lawful business activities and ensure compliance with applicable laws within their jurisdiction.
Clients are responsible for ensuring that their products or services are lawful, marketing activities comply with relevant regulations and communications provided to Avant Partners are accurate and authorised.
Avant Partners reserves the right to refuse services connected to unlawful activities, fraudulent operations, misleading practices, unethical conduct or prohibited industries.

6. No Guaranteed Results

Avant Partners provides professional operational and commercial support services. However, unless expressly agreed in writing, no guarantees are provided regarding revenue, sales conversion, lead generation outcomes or business growth.
Business performance depends on numerous factors outside the direct control of Avant Partners, including market conditions, pricing, client products/services, sales processes, customer demand and external competition.
Avant Partners commits to delivering services professionally and in good faith but cannot guarantee specific commercial outcomes.

7. Service Delivery

Avant Partners will use reasonable skill, care and professionalism in delivering services. Service delivery may involve remote communication, cloud systems, CRM platforms, digital communication tools and outsourced operational infrastructure.

Clients acknowledge that operational services may involve remote teams, digital systems, third-party software and automation technologies.

8. Fees & Payment Terms

All fees are payable in accordance with agreed proposals, quotations, contracts, invoices or service agreements.
Unless otherwise agreed: invoices are payable within the stated payment period; late payments may incur administrative charges; services may be suspended for overdue accounts.
Avant Partners reserves the right to revise pricing, modify service structures, adjust fees and introduce new service charges with reasonable notice where applicable.

9. Currency & Taxes

Fees may be quoted in GBP, EUR, MAD or other agreed currencies.
Clients remain responsible for applicable taxes, banking charges, transfer fees and international payment costs unless otherwise agreed in writing.

10. Confidentiality

Avant Partners recognises the confidential nature of business operations and client information. Both parties agree to maintain confidentiality regarding commercial information, operational data, customer information, marketing systems, business processes, pricing and intellectual property — except where disclosure is legally required, authorised or operationally necessary.
Confidentiality obligations continue after termination of services.

11. Data Protection & Privacy

Avant Partners processes information in accordance with Moroccan Law No. 09-08, applicable privacy regulations and internal confidentiality standards.
Clients acknowledge that operational services may involve processing CRM information, customer data, communication records, marketing information and operational documentation.
Avant Partners implements reasonable operational safeguards designed to protect information confidentiality and security. Further details are contained within the Avant Partners Privacy & Cookie Policy.

12. Intellectual Property

Unless otherwise agreed in writing, Avant Partners retains ownership of its methodologies, systems, materials, templates, automation structures and operational processes; clients retain ownership of their own branding, customer data and business materials.
Clients grant Avant Partners a limited operational licence to use materials reasonably necessary for service delivery.

13. Third-Party Platforms & Systems

Avant Partners may utilise third-party systems or software including CRM platforms, cloud services, communication tools, AI systems, marketing platforms and automation software.
Avant Partners is not responsible for outages, failures, interruptions, security breaches or operational issues originating from third-party providers beyond our direct control.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Avant Partners shall not be liable for indirect losses, consequential losses, loss of profits, business interruption, reputational damage, data loss or lost opportunities arising from use of services, operational interruptions, client decisions, external market factors or third-party system failures.
Avant Partners’ liability shall, where legally permitted, be limited to the amount paid by the Client for services directly giving rise to the claim.

15. Force Majeure

Avant Partners shall not be liable for delays or failures resulting from circumstances beyond reasonable control, including natural disasters, internet failures, cyberattacks, governmental actions, political instability, strikes, pandemics, infrastructure outages and force majeure events.

16. Termination

Either party may terminate services in accordance with agreed contractual notice periods, immediately for material breach, immediately for unlawful conduct, or where operational continuation becomes commercially impractical.
Upon termination: outstanding fees remain payable; access to systems may be revoked; confidential obligations continue; operational materials may be returned or deleted where appropriate.

17. Non-Solicitation of Staff

Clients agree not to directly recruit, solicit or engage Avant Partners personnel or contractors without prior written consent during service delivery and for a reasonable period thereafter.

18. Compliance & Ethical Conduct

Avant Partners is committed to lawful business operations, professional standards, ethical conduct, responsible outsourcing and operational integrity.
Clients agree not to request services connected to unlawful activity, fraud, discrimination, harassment, unethical conduct or prohibited communications.
Avant Partners reserves the right to refuse or terminate services where such concerns arise.

19. Complaints Procedure

Complaints may be submitted to complaints@avantpartners.ma. Avant Partners will make reasonable efforts to review and respond to complaints professionally and fairly.

20. Amendments

Avant Partners reserves the right to modify these Terms periodically. Updated Terms may be published online, provided operationally or issued with service updates.
Continued use of services following amendments may constitute acceptance of revised Terms.

21. Entire Agreement

These Terms, together with any proposal, quotation, service agreement, statement of work, invoice or operational document, constitute the entire agreement between Avant Partners and the Client unless otherwise agreed in writing.
